1. Introduction

These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“User”, “Buyer”, or “Seller”) and Cedar Souq (“Cedar Souq”, “we”, “our”, or “the Platform”).

These Terms govern access to and use of the Cedar Souq website, mobile applications, and all related services (collectively, the “Platform”).

By accessing or using the Platform, you acknowledge that you have read, understood, and agreed to be legally bound by these Terms under the laws of the Republic of Lebanon.

If you do not agree, you must immediately discontinue use of the Platform.

2. Nature of the Platform

Cedar Souq operates as an independent digital marketplace platform facilitating transactions between third-party sellers and buyers.

Unless expressly stated otherwise:

• Cedar Souq does not manufacture products
• Cedar Souq does not own listed goods
• Cedar Souq is not the direct seller
• Cedar Souq does not take title to products

All products are offered and supplied by independent third-party sellers.

Cedar Souq acts solely as an intermediary facilitating listings, communication, and payment processing.

3. Eligibility and Legal Capacity

By using the Platform, you confirm that:

• You are at least 18 years of age
• You possess full legal capacity under Lebanese law
• You are legally authorized to enter into binding agreements

Cedar Souq reserves the right to suspend accounts that do not meet eligibility requirements.

4. Account Registration

Users may be required to create an account.

You agree to:

• Provide accurate and complete information
• Maintain confidentiality of login credentials
• Accept responsibility for all activities under your account

Cedar Souq is not liable for unauthorized account access resulting from user negligence.

5. Seller Status and Responsibilities

Sellers operate as independent contractors.

Nothing in these Terms creates:

• Employment
• Agency
• Partnership
• Joint venture

Each Seller is solely responsible for:

• Product legality
• Product safety and compliance
• Accuracy of descriptions
• Pricing
• Inventory management
• Shipping and delivery
• After-sales obligations
• Tax compliance under Lebanese law

Cedar Souq bears no responsibility for defective, counterfeit, illegal, or unsafe products.

6. Prohibited Products

The following items are strictly prohibited:

• Weapons and weapon components
• Narcotics and illegal substances
• Stolen goods
• Counterfeit goods
• Items violating Lebanese public order
• Any product prohibited under Lebanese law

Cedar Souq reserves the absolute right to remove listings and suspend accounts without prior notice.

7. Orders and Contract Formation

A binding sales contract is formed solely between the Buyer and the Seller.

Cedar Souq is not a party to the sales contract unless explicitly stated.

Cedar Souq may cancel transactions where fraud, error, or policy violations are suspected.

8. Payments and Financial Processing

Cedar Souq may process payments on behalf of Sellers.

Cedar Souq reserves the right to:

• Deduct applicable commissions and service fees
• Temporarily hold funds
• Delay payouts
• Freeze balances

Such measures may be implemented in cases of:

• Fraud suspicion
• Customer disputes
• Policy violations
• Risk management review

Funds may be retained for a reasonable review period to ensure compliance and protect platform integrity.

9. Returns

Return requests must be submitted within three (3) calendar days from confirmed delivery.

Returns are valid only where:

• The product is defective
• The product materially differs from description
• An incorrect item was delivered

The Seller bears full financial responsibility for valid returns.

Cedar Souq acts solely as a facilitator and dispute intermediary.

10. Intellectual Property

All content on the Platform, including logos, trademarks, text, graphics, software, and design elements, is the exclusive property of Cedar Souq or its licensors.

Unauthorized reproduction, distribution, or commercial exploitation is strictly prohibited.

11. Limitation of Liability

To the maximum extent permitted by Lebanese law:

Cedar Souq’s total cumulative liability shall not exceed the total amount paid by the User to Cedar Souq during the thirty (30) days preceding the claim.

Cedar Souq shall not be liable for:

• Indirect damages
• Consequential damages
• Loss of profits
• Business interruption
• Data loss
• Seller misconduct
• Third-party service failures

This limitation applies regardless of the legal theory asserted.

12. Indemnification

Users and Sellers agree to indemnify and hold Cedar Souq harmless from and against any claims, damages, liabilities, penalties, fines, or legal expenses arising from:

• Violation of these Terms
• Product defects
• Regulatory breaches
• Fraudulent activity
• Misrepresentation

13. Account Suspension and Termination

Cedar Souq reserves the unrestricted right to:

• Suspend accounts
• Permanently terminate Sellers
• Remove listings
• Freeze balances

In cases involving policy violations, fraud, legal risk, or reputational harm.

No prior notice is required in serious cases.

14. Force Majeure

Cedar Souq shall not be liable for delays or failures resulting from events beyond reasonable control, including but not limited to:

• Government actions
• Armed conflict
• Civil unrest
• Natural disasters
• Infrastructure or telecommunications failures

15. Dispute Resolution

Users agree to attempt amicable resolution before initiating formal legal proceedings.

Parties may mutually agree to resolve disputes through arbitration in Beirut prior to court action.

16. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of Lebanon.

Any dispute arising out of or relating to these Terms shall fall under the exclusive jurisdiction of the competent courts of Beirut, Lebanon.

Users expressly consent to such jurisdiction.

17. Amendments

Cedar Souq reserves the right, at its sole discretion, to amend or update these Terms at any time.

Continued use of the Platform following any modification constitutes binding acceptance of the revised Terms.
